Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the Lexerus platform, including our web dashboard, mobile application, and AI detection services (collectively, the "Service"), provided by Lexerus Ltd, a company incorporated in England and Wales ("Lexerus", "we", "us", "our").
By creating an account or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a business, you represent that you have authority to bind that business. If you do not agree, do not use the Service.
2. Description of Service
Lexerus provides AI-powered video analysis software that connects to RTSP-compatible CCTV cameras to detect suspicious behaviour, assess suspicion levels, and dispatch alerts to authorised store personnel via push notification and email. The Service includes:
- Real-time behaviour detection using computer vision models (YOLOv8)
- A web dashboard for store managers to review incidents and manage cameras
- A mobile application for security staff to receive and respond to alerts
- Video clip and snapshot storage for evidence purposes
- An incident workflow system for tracking and resolving detected events
3. Accounts & Access
3.1 Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at hello@lexerus.com if you suspect unauthorised access.
3.2 Eligibility
The Service is intended for business use only. You must be at least 18 years old and have the legal authority to enter into contracts in your jurisdiction. Individual consumer use is not permitted.
3.3 User Accounts
Depending on your subscription tier, you may create multiple user accounts within your organisation. Each user account is personal and may not be shared. You are responsible for ensuring all users comply with these Terms.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
- Use the Service in any way that violates applicable UK law, including the Data Protection Act 2018, UK GDPR, or the Regulation of Investigatory Powers Act 2000
- Connect cameras to monitor individuals in private spaces (e.g. changing rooms, bathrooms, private residences) without explicit consent
- Attempt to reverse-engineer, decompile, or extract the underlying AI models or source code
- Resell, sublicense, or white-label the Service without our express written permission
- Upload or stream content that is illegal, harmful, or infringes third-party rights
- Attempt to overload, attack, or disrupt our infrastructure or that of other customers
- Use the Service to build a competing product or to benchmark it against competitors without consent
5. CCTV & Data Protection Obligations
You acknowledge that operating CCTV cameras and processing video footage of individuals constitutes processing of personal data under UK GDPR. As the data controller, you are solely responsible for:
- Ensuring you have a valid lawful basis for processing (typically legitimate interests under Article 6(1)(f) UK GDPR)
- Displaying clear and visible signage informing individuals that CCTV is in operation
- Registering with the ICO as a data controller if required
- Completing a Data Protection Impact Assessment (DPIA) if processing is likely to result in high risk to individuals
- Responding to any subject access requests relating to footage captured by your cameras
- Ensuring cameras are positioned to avoid capturing footage of private residential areas
Lexerus acts as your data processor for video analysis purposes. Our obligations as your processor are set out in our Data Processing Agreement (DPA), which forms part of these Terms.
6. Subscription & Payment
6.1 Plans
The Service is available under three tiers: Starter (£99/month or £79/month billed annually), Growth (£249/month or £199/month billed annually), and Enterprise (custom pricing). Annual billing is available at a 17% discount. Plan features and limits are as described on our pricing page at the time of subscription.
6.2 Billing
Subscriptions are billed in advance on a monthly or annual basis. By providing payment details, you authorise us to charge your payment method at the start of each billing period. All prices are exclusive of VAT. VAT will be added at the applicable UK rate.
6.3 Free Trial
Where a free trial is offered, no payment is required during the trial period. At the end of the trial, your account will be downgraded to a free tier or you will be prompted to subscribe. We will not charge you without explicit confirmation.
6.4 Cancellation & Refunds
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. We do not offer pro-rated refunds for partial months. Annual subscriptions cancelled within 14 days of initial purchase are eligible for a full refund under the Consumer Rights Act 2015 (where applicable).
6.5 Price Changes
We will give you at least 30 days' notice of any price increase, via email. Continued use after the effective date constitutes acceptance of the new pricing.
7. Intellectual Property
All intellectual property rights in the Service, including the AI models, software, design, and documentation, are owned by or licensed to Lexerus Ltd. These Terms grant you a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes only.
You retain all rights to your own data, including video footage and detection records generated from your cameras. By using the Service, you grant Lexerus a limited licence to process your data solely to provide and improve the Service.
8. Confidentiality
Each party agrees to keep the other's confidential information secret and not to disclose it to third parties without prior written consent, except as required by law. This obligation survives termination of these Terms for 3 years.
9. Availability & Support
We aim to maintain 99.9% uptime for the Service. Planned maintenance will be communicated at least 48 hours in advance. Unplanned outages will be communicated via our status page as soon as practicable.
Support is available via email at hello@lexerus.com. Enterprise customers receive a dedicated account manager and SLA guarantee as specified in their agreement.
10. Disclaimers & Limitation of Liability
10.1 No Guarantee of Detection
The Service uses probabilistic AI models and does not guarantee detection of all suspicious behaviour or theft. Lexerus is not liable for any losses arising from undetected incidents, false positives, or failure to alert.
10.2 Limitation of Liability
To the maximum extent permitted by law, Lexerus's total liability to you for any claim arising from or related to the Service shall not exceed the total fees paid by you in the three months preceding the event giving rise to the claim.
We are not liable for any indirect, consequential, special, incidental, or punitive damages, including loss of profit, loss of data, or business interruption, even if we have been advised of the possibility of such damages.
10.3 Indemnification
You agree to indemnify and hold harmless Lexerus and its officers, employees, and contractors from any claims, damages, or expenses (including legal fees) arising from your misuse of the Service, violation of these Terms, or breach of applicable data protection law.
11. Termination
We may suspend or terminate your access to the Service immediately and without notice if you materially breach these Terms, fail to pay amounts due, or if we are required to do so by law. Upon termination, your right to use the Service ceases immediately. We will retain your data for 90 days post-termination to allow you to export it, after which it will be permanently deleted.
You may terminate your account at any time by contacting us or using the cancellation function in your account settings.
12. Governing Law & Disputes
These Terms are governed by the laws of England and Wales. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Before initiating any formal proceedings, both parties agree to attempt to resolve disputes informally by giving written notice and allowing 30 days for resolution.
13. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms. The latest version will always be available at lexerus.com/terms.
